We provide our products and services to you upon the following Terms and Conditions.

  
Terminology
In these Terms and Conditions, unless the context requires otherwise, the following expressions have the following meanings:

"Credit Card" means Visa or MasterCard, or other credit card facility accepted by us from time to time.

"Delivery Charges" means the charges for the shipping and handling of the Products.

"Delivery Instructions" means any instructions that you may give us for the delivery of the Products.

"Products" means any goods purchased by you from the NZEDGE Shop.

"Price" means the price for the Products. The price includes Goods & Service Tax for NZ residents, but excludes Delivery Charges.

"Site" means the Internet web site accessible via the URL http://www.nzedge.co.nz or http://www.nzedge.com.

"Terms and Conditions" means these terms and conditions for the sale of Products through the NZEDGE Shop as amended from time to time in accordance with these Terms and Conditions.

"We" or "us" means NZEdge.com Limited.
    

  
Application of Terms
The Site is owned and operated by NZEDGE.com Limited. These Terms and Conditions constitute an agreement made between you (as the customer) and us when you access the Site. We shall sell and you shall purchase the Products available from NZEDGE Shop on the Site in accordance with these Terms and Conditions only.
We reserve the right to amend these Terms and Conditions from time to time. Amendments will be effective immediately upon notification on this Site. Your continued use of the Site following such notification will mean that you agree to be bound by the terms and conditions as amended.

Orders
You may order Products described on this Site for the Price specified. You may make your order by completion of the order either by completing the order form on the Site, or by faxing to us the completed order sheet, which may be printed from the Site. Your order must contain your name, e-mail address, Credit Card details and any other ordering information specified on this Site. The Products are for sale only to persons who can make legally make binding contracts. Your order will be an offer to purchase and will not be binding on us until accepted by us.

Within three days of receipt of your order, we will accept or reject your offer to purchase. We will e-mail you to confirm:

• your order number;
• the order date;
• a summary of the Products ordered; and
• whether we accept or reject your order.

If we reject your offer to purchase the Products for any reason, neither of us will have any liability to the other in relation to your original offer or our non-acceptance of your offer.

If you do not receive an e-mail from us within 7 days of making your order, you should notify us by e-mail at shopping@nzedge.com

Cancellation Due to Error 
You acknowledge that despite our reasonable precautions, Products may inadvertently be listed at an incorrect price or with incorrect information. In these circumstances, we reserve the right to cancel the transaction, notwithstanding that your order may have been confirmed and your Credit Card may have been charged. We reserve this right up until the time we deliver the Products to you. If a cancellation of this nature occurs after your Credit Card has been charged for the Price and associated Delivery Charges, we will immediately issue a credit to your Credit Card account for the relevant sum.

Availability of Products
It is our intention that stocks of Products will be kept at levels to ensure your order will be able to be fulfilled promptly. If for some reason (e.g. high demand) a Product is not available, we will endeavour to notify the non-availability on the Site. We reserve the right to revise and/or discontinue the sale of the Products through NZEDGE at any time.

Price and Payment
The Price for the Products shall be the Price quoted on the Site at the time of making your order, along with the applicable Delivery Charges. You agree to pay us for the purchase of the Products by authorising us to charge your Credit Card account for the full Price of the Products and applicable Delivery Charges, on the date on which we dispatch the Products to you. All Prices are payable in New Zealand dollars.

Delivery Charges are based on the delivery destination, and will be notified at the time you complete your selection of the Products online, or by e-mail confirmation in the case of fax orders.

The Prices for the Products are stated and are payable in New Zealand dollars (NZD). All Prices and Delivery Charges within New Zealand include GST (Goods and Services Tax) at the rate of 12.5%.

Some states and/or countries may impose import duties or sales taxes on certain Products. Except where specifically stated, the Prices do not include import fees, duties, tariffs or other charges associated with importing the Product. You are liable for payment of any duties, sales tax, value added tax, or other imposts or charges levied at the time of entry of the Products into the country of destination.

Title and Risk
We retain ownership of and title in the Products we supply to you until we have received the full Price for the Products and the applicable Delivery Charges.

Products on the Express service are insured by us for the first NZ$1000 of the Price until the point of delivery.  For Products over and above NZ$1000, extra insurance can be purchased for NZ$20-25. Products on the Economy service are uninsured, however an insurance package can be arranged through nzedge.com by email at shopping@nzedge.com. The progress of your shipment can be traced by entering the consignment number at www.tnt.com. 
Once the Products are delivered to you (i.e. your signature for delivery is obtained or the Products are left in accordance with your Delivery Instructions), you assume full responsibility for and risk in the Products.

Using the International Air service (provided by New Zealand Post) rates include compensation for loss or damage up to NZ$250, with an option to purchase additional compensation cover for parcels up to NZ$1500. A track and trace service is not provided using this service.

Delivery
Products will be delivered within New Zealand by courier. For delivery of Products using our express service, please allow 1-4 days. For delivery of Products using our economy service, please allow 7-13 days. For delivery of Products using the New Zealand Post International Air Service, target delivery to key areas is approximately one week. We will endeavour to deliver the Products to you within the stated time periods. However, we will not be liable for the consequences of any delay in the delivery of the Products.

You may specify Delivery Instructions if using the courier option by emailing shopping@nzedge.com. For example, you may authorise the courier to leave the Products in a specified location if you will not be at the delivery address. This type of instruction gives the courier permission to leave the delivery without first obtaining your signature. We are not responsible for the Products once left for you in accordance with your Delivery Instructions.

We regret that we are unable to deliver Products to all countries. Countries for which orders cannot be accepted currently include Afghanistan, Burma, Johnston Island, St.Helena.

Returns, Refunds and Exchange of Products
We regret that we are unable to provide refunds except in accordance with our returns policy set out in this section. Please choose carefully before ordering as we do not offer refunds or an exchange if you change your mind.

It is our intention that all Products purchased from us reach you safely and in good condition. We will accept the return of Products under the following conditions:

• Damaged or faulty Products - any Products that are damaged or defective at the time of delivery can be returned to us and, at your option, we will either:
    
  • replace the Products to the same specification (e.g. size, style, colour), with no additional Delivery Charges; or
     
  • if the Product is no longer available, substitute it with a replacement of comparable value, with no additional Delivery Charges; or
     
  • give you a full refund to your Credit Card account;
      
• Incorrectly supplied Products - where you receive an item different to the Product you ordered, we will replace the item with the correct Product with no additional Delivery Charges;
    

All Products returned in accordance with this section must be returned in their original condition and packaging, along with any accompanying accessories, and the tax invoice accompanying the Products. If you wish to return Products, please follow the following procedure:

You must also advise us:

• whether you are returning the Product because it was not what you ordered, or because the Product is faulty or damaged;
    
• where you are returning faulty or damaged Products, the option you prefer, being either:
    
• full refund, in which case you must resupply us with your Credit Card details; or
    
• replacement Products.

We highly recommend you use registered mail, courier or other traceable form of shipment for Product returns. Returned Products are your responsibility until they reach us. We shall not be responsible for misdirected shipments or Products lost in transit.

Use of the Site 
Access to www.nzedge.com, including the NZEDGE Shop, may be interrupted, restricted or delayed from time to time. We will not be liable for any damages or refunds should the Site or NZEDGE Shop become temporarily unavailable or delayed, or should access to the Site or the NZEDGE Shop become impeded for any reason.

While we endeavour to ensure that the content of the Site is free from error, we do not give any warranty or other assurance as to the content of material appearing on the Site, its accuracy, completeness, timeliness or fitness for any particular purpose. We make no warranty that Products acquired from us through the NZEDGE Shop will meet your requirements.

To the full extent permissible at law, we disclaim all responsibility for damages or losses (including, without limitation, financial loss, loss of revenue, loss of profits or savings, indirect or consequential losses arising in contract, tort (including negligence) or otherwise from (a) your use of, or inability to use, the Site, including the NZEDGE Shop, or any material appearing on the Site, or (b) any action or decision taken as a result of using the Site, including the NZEDGE Shop, or any material appearing on the Site; or (c) Products or services ordered by you from the Site.

Although we endeavour to take reasonable steps to prevent the introduction of viruses or other destructive materials to the Site or the NZEDGE Shop, we do not guarantee or warrant that the NZEDGE Shop or materials that may be available on the Site do not contain such destructive features. We will not be liable for any damages or harm attributable to such features. If you rely on the NZEDGE Shop and any materials available through the Site, you do so solely at your own risk.

You acknowledge that despite all reasonable precautions on our part, there is a risk of unauthorised access to or alteration of your transmissions or data or of the information contained on your computer system or on this Site. We do not accept responsibility or liability of any nature for any losses that you may sustain as a result of such activity.

Nothing in these Terms and Conditions is intended to avoid the provisions of the New Zealand Consumer Guarantees Act 1993 except to the extent permitted by that Act, or to exclude liability arising under any other statute, if and to the extent that such liability cannot be lawfully excluded, and these Terms and Conditions shall be modified to the extent necessary to give effect to that intention. We do not provide any express guarantees (as that term is defined in the Consumer Guarantees Act 1993) other than those expressly confirmed in these Terms and Conditions.

Intellectual Property
The materials contained on the site are protected under copyright and other laws of New Zealand, and under international conventions and similar laws abroad. Unless otherwise stated, copyright and other intellectual property rights in all material published on the Site, including, but not limited to the textual material, artwork, photographs, computer software, audio and visual elements shall belong to NZEDGE.com Limited or its licensors.

The name and logo of "NZEDGE" and certain other logos used on the Site are registered trade marks. You are not permitted to use or reproduce or allow anyone to use or reproduce those trade marks for any reason without our express written permission. The software which operates the Site is proprietary software and you are not permitted to use it except as expressly allowed under these Terms and Conditions. Any other use or purported licensing, modification, enhancement or interference is strictly prohibited.

Links and Advertising
The Site contains links to other web sites. We do not accept any responsibility or liability in relation to any content or other web sites that are not under our direct control. We require you to obtain our permission before establishing any link to the Site. If you would like to link to our Site, please e-mail your request to editor@nzedge.com. 
Responsibility for the content of any advertisements appearing on the Site (including hyperlinks to advertisers' own web sites) rests solely with the advertisers. The placement of such advertisements does not constitute a recommendation or endorsement by us of the advertisers' products. Each advertiser is solely responsible for any information contained in its advertisement.

Applicable Laws
Except as otherwise described, all materials on the Site are made available only to provide information about this Site, and Products to be supplied through the NZEDGE Shop. This Site is controlled and operated by us, from offices within New Zealand. We make no representation that the materials on the Site are appropriate or available for use in other locations, and access to them from territories where their contents are illegal is prohibited. If you choose to access this Site from other locations you are responsible for compliance with applicable local law.

Details contained on this Site relating to the Products and the sale of the Products through the NZEDGE Shop have been prepared in accordance with New Zealand law and may not satisfy the laws of any other country. We do not warrant that the details on this Site concerning the Products and the sale of the Products through the NZEDGE Shop will satisfy the laws of any other country. It is your responsibility to determine whether these details satisfy the laws of the jurisdiction where you reside (if that jurisdiction is outside New Zealand). If the details do not satisfy the laws of your jurisdiction, you must not order any Products through the NZEDGE Shop.

These Terms and Conditions and any agreements with NZEDGE.com arising from the Site shall be deemed to have been made in New Zealand and are governed by New Zealand law. Any dispute relating to such Terms and Conditions shall be referred to the New Zealand courts and the New Zealand courts shall have jurisdiction to hear and determine such dispute.

General 
If any provision of these Terms and Conditions are held by any competent authority to be invalid or unenforceable in whole or in part, the validity of the other provisions of these Terms and Conditions and the remainder of the provisions in question shall not be affected thereby.

If we waive any rights available to us under these terms and conditions on one occasion, this does not mean that those rights will be waived on any other occasion.

Privacy and Security
Our Site uses encryption technology to protect your Credit Card and personal information. Unfortunately, no data transmission over the Internet can be guaranteed as totally secure. While we strive to protect such information, we do not warrant and cannot ensure the security of any information you transmit to us. Accordingly, any information which you transmit to us is transmitted at your own risk, Nevertheless, once we receive your transmission, we will take reasonable steps to preserve the security of such information. Any information you transmit to us may be used by us, to, amongst other things, advise you of Products available through the NZEDGE Shop. You have the right to opt out of such communication. You also have the right to access and correct your personal information held by NZEDGE.
